1. Introduction

Welcome to Delopt, a delivery optimization API provided by Transopt (“Company,” “we,” “our,” or “us”). By integrating our API or using our Service, you agree to these Terms and Conditions (“Terms”). These Terms constitute a binding agreement between Transopt and the entity or individual (“Customer,” “you”) accessing the Service.

2. API Usage & License

We grant you a limited, non-exclusive, non-transferable license to access our API solely for optimizing delivery routes and logistics.

  • API Credentials: You are responsible for maintaining the security of your API keys. Any request made using your keys will be deemed authorized by you.
  • Usage Limits: We reserve the right to impose limits on the number of requests (rate limiting) to ensure system stability. Excessive usage may result in temporary suspension.
  • Prohibited Acts: You may not “scrape” data, attempt to circumvent API security, or use the Service to build a competing product through reverse engineering.

3. Service Level & Support

  • “As-Is” Basis: While we strive for high uptime, the Service is provided “as available.”
  • Accuracy: Delivery optimization depends on third-party map data and user inputs. We do not guarantee 100% accuracy of routes, estimated times of arrival (ETAs), or traffic conditions.
  • Maintenance: We may perform scheduled maintenance. We will provide reasonable notice via email or our API status page for any expected downtime.

4. Fees and Taxation

  • Billing: Fees are based on your selected tier (e.g., per request or monthly subscription).
  • Taxes: All fees are exclusive of VAT unless stated otherwise. As a Greek entity, Greek VAT will be applied to local invoices where applicable under Greek Tax Law.
  • Late Payments: We reserve the right to suspend API access if payments are more than 7 days overdue.

5. Data Protection (GDPR)

Both parties agree to comply with the General Data Protection Regulation (EU) 2016/679 (GDPR) and the Greek Law 4624/2019.

  • Data Processor: For the purposes of processing delivery addresses or driver coordinates, Transopt acts as the Data Processor, and you act as the Data Controller.
  • Data Minimization: You agree not to send sensitive personal data through the API—only data strictly necessary for delivery optimization.

6. Limitation of Liability

To the maximum extent permitted by Greek law:

  • Indirect Damages: Transopt is not liable for lost profits, lost goods, or delivery delays.
  • Liability Cap: Our maximum aggregate liability for any claim shall not exceed the total amount paid by you to Transopt in the three (3) months preceding the incident.

7. Termination

  • Termination for Convenience: You may cancel your subscription at any time via your dashboard.
  • Termination for Cause: We may terminate access immediately if we detect fraudulent activity or a breach of these Terms.
  • Data Deletion: Upon termination, we will delete your API data in accordance with our Privacy Policy and legal retention requirements.

8. Governing Law & Jurisdiction

These Terms are governed by the laws of the Hellenic Republic. Any dispute arising from these Terms that cannot be settled amicably shall be submitted to the exclusive jurisdiction of the Courts of Athens, Greece.
